Arché acts as a financial advisor in the origination and execution of acquisition and divestiture transactions, proposing the most appropriate structures and assisting companies and institutional investors, both Italian and international, throughout the various phases of the transaction. Arché supports clients in finding the best structure, paying particular attention to the assessment of the transaction's risks.

Arché provides assistance in structuring joint ventures and industrial alliances in international markets. In the context of development or business restructuring projects, it supports the client in the phases of raising equity and/or debt from institutional investors and/or strategic industrial investors.

It carries out scouting, research, and selection activities for start-ups at various stages of the life cycle (seed, early stage, growth, scale-up, and exit) and supports them with incubation services, mentorship, networking, and management support to carry out fundraising operations with government, national, and international venture funds, as well as with private investors and corporations.

Arché offers consulting services to support extraordinary finance operations, such as:

• economic and financial analysis, feasibility studies, and preparation of business plans;
• valuations of companies and intangible assets such as trademarks, patents, other intellectual property, and goodwill;
• portfolio valuations (net asset value) of private equity and holding companies, and of complex financial instruments;
• independent fairness opinions and valuation reports based on the provisions of the Civil Code for merger, demerger, contributions, etc.;
• certifications pursuant to Article 67 and Article 182-bis of the Bankruptcy Law;
• independent opinions to support the decisions of management and shareholders.

Arché provides assistance in situations of disputes, pre-litigation, and arbitration as an expert, supporting the client in defining disputes or in estimating damages arising from extraordinary financial operations.

Arché supports clients in complex operations of restructuring and debt renegotiation and turnaround with banks and other financial institutions, also within the framework of procedures regulated by Bankruptcy Law (recovery plans, debt restructuring agreements, and preventive agreements). It provides assistance to companies in crisis, implementing targeted interventions aimed at restoring balanced financial and asset conditions.

The activities carried out are:

• analysis of the existing asset and financial structure, strategic business prospects for restructuring, identification of the equilibrium structure, and preparation of a business plan to be presented to financial institutions and creditors;
• critical review and reworking of the business plan developed by the client for the purpose of presenting the restructuring strategy to financial institutions and creditors;
• negotiation of financial and contractual terms with financing institutions and/or seeking new financing;
• management of relationships with counterparties up to the disbursement or restructuring of debt capital.

Arché provides assistance during the preliminary evaluation phases in a litigation context, in the procedures for transactional resolution of disputes, as well as in arbitrations, collaborating with corporate counsel and/or external lawyers.

Arché manages disputes related to the acquisition and/or sale of companies, complex commercial litigation, post-acquisition damage claims, disputes concerning bankruptcy or pre-bankruptcy situations, litigation related to trademarks, patents, equity and bond securities, as well as claims for damages due to issues of negligence and professional liability.

Arché assists the client with reference to:

• identification of damage and risk assessment, to define strategies for claiming damages/defending one's position, to evaluate the positions of the opposing party and the inherent risk in a possible lawsuit, and potential settlement offers;
• financial analysis and quantification of damages, such as loss of profits, increase in costs, damage to commercial positioning and reputation, other value losses related to companies, branches or intangible assets, customer portfolio, ceased royalties, etc., in order to prepare a structured and sustainable damage claim.

Technical assistance is provided at all stages of technical investigations and expert operations, within both civil and criminal procedures. The professionals at Arché also operate as Court Technical Consultants (CTU) or Party Technical Consultants (CTP).

Arché provides concrete support during times of significant change in business life, following altered market conditions, financial crises, or changes in ownership or management structure, including interim management interventions by senior professionals.

The Company assists client companies in redefining their strategic objectives and articulating them in medium to long-term plans, supports management with a dedicated team in the implementation of the plans and in performance monitoring, analyzes deviations from the defined objectives, and actively collaborates with business functions to achieve them.

Furthermore, it provides support to companies and management in the field of human resources following reorganization projects, including the transfer of business ownership. Arché assesses business strategies in relation to the organizational structure, including assessments of key positions, compensation and incentive systems, welfare plans, and training pathways. The company offers assistance for every labor law aspect, such as employment contracts, smart working agreements, and relations with trade unions and workers.
